Zonos Terms of Service

Welcome to the Zonos Terms of Service. 

본 Terms of Service(„Terms“)는 Zonos website [www.zonos.com], services, APIs, products(„Zonos Platform“)를 이용하거나 접근할 때마다 적용되는 귀하와 iGlobal Exports, LLC dba Zonos 및 그 affiliate(함께 „Zonos“) 간의 법적 계약입니다. 법적 약관을 읽는 것은 즐거운 일이 아니므로, 명확하고 간단하게 작성하려고 노력했습니다. Terms를 주의 깊게 읽어 주시고, 질문이 있으면 언제든지 문의해 주세요.

1. Introduction.

Utah 84770 St. George, 975 S. Tech Ridge Dr에 위치한 Zonos가 제공하는 Zonos Platform을 이용해 주셔서 감사합니다. Zonos Platform을 통해 cross-border capability를 관리, 유지 및 향상하는 technology를 귀하의 business에 통합할 수 있습니다.

당사와 account를 생성하거나 Zonos Platform에 접근·이용하는 경우(guest 또는 registered user, 그곳에서 제공되는 content, functionality, service 포함), 귀하는 본 Terms, Privacy Policy, Service-Level Agreement를 읽고 이해했으며 이에 구속되는 데 동의함을 인정합니다.

Terms에 동의함으로써 귀하는 거주 state, province 또는 territory에서 성년(age of majority) 이상임을 진술하며, 미성년 dependent의 Zonos Platform 이용에 동의합니다. Terms의 조항 및 조건은 Zonos Platform 이용과 관련한 귀하와 Zonos 간의 완전한 합의를 구성하며, 이전 합의 또는 이해를 대체합니다.

본 Terms에서 „Services“는 Zonos Platform의 일부로 Zonos가 귀하에게 제공하기로 동의한 service를 의미합니다. 해당 service에는 Landed Cost guarantee, Classify, Checkout, Quoter, Hello 및 related API가 포함될 수 있으며, Zonos가 수시로 제공하기로 동의하는 기타 service도 포함됩니다.

2. Acceptance of the Terms.

Zonos Platform을 어떤 방식으로든 이용하면 본 Terms에 구속됩니다. Terms에 동의하지 않으면 Zonos Platform을 이용하지 마세요. 회사, organization, government 또는 기타 legal entity를 대신하여 본 Terms에 동의하는 경우, 귀하는 다음을 진술하고 보증합니다:

(a) 그렇게 할 권한이 있음,

(b) 해당 entity가 Terms에 법적으로 구속되는 데 동의함,

(c) 귀하 또는 해당 entity가 applicable jurisdiction의 법률에 따라 Services를 이용하거나 Terms에 동의하는 것이 금지되지 않음.

3. Changes to the Terms.

당사는 단독 재량으로 revised Terms를 게시하거나 email로 통지함으로써 본 Terms를 수시로 개정·업데이트할 권리를 보유합니다. 모든 변경은 게시 즉시 효력이 발생하며, Zonos Platform에 대한 모든 접근 및 이용에 적용됩니다. 단, dispute resolution 조항(Section 18 참조) 변경은 Zonos Platform에 변경이 게시된 날 또는 그 이전에 parties가 actual notice를 받은 dispute에는 적용되지 않습니다.

revised Terms 게시 후 Zonos Platform을 계속 이용하면 변경에 동의한 것으로 간주됩니다. 변경은 귀하에게 구속력이 있으므로, 수시로 본 page를 확인하시기 바랍니다.

4. Scope.

본 Terms는 Zonos Platform 이용을 규율합니다. 달리 명시되지 않는 한, 본 Terms는 자체 terms가 적용되는 Third-Party Services에는 적용되지 않습니다.

5. Acceptable Use and Prohibited Activities.

a. Lawful Purposes Only. 당사의 재량으로 unlawful, invasive, infringing, obscene, offensive, defamatory 또는 fraudulent로 판단되는 목적으로 Zonos Platform을 이용하거나 제3자가 이용하도록 허용할 수 없으며, illegal activity에 관여, 촉진 또는 장려할 수 없습니다.

b. Violations of Third-Party Rights. inappropriate content에 노출, personally identifiable information 요청 등 어떤 방식으로든 minor를 exploit, harm하거나 exploit·harm을 시도하기 위해 material, content, data 또는 기타 information을 이용할 수 없습니다.

c. Misrepresentation of Transmission Information. message origin을 conceal하거나 misidentify하기 위해 message header, return mailing information 및/또는 Internet protocol address를 forge, misrepresent, omit 또는 delete하는 것은 금지됩니다.

d. Viruses and Other Destructive Activities. internet virus, worm, trojan horse, corrupted file, hoax 또는 기타 destructive 또는 deceptive nature의 item을 생성·전송하거나, ping, flooding, mail bombing, denial of service attack에 관여하기 위해 Zonos Platform을 이용하거나 제3자가 이용하도록 허용할 수 없습니다. Zonos Platform(또는 connected network, system, service, equipment)을 효과적으로 이용하는 others의 능력 또는 Internet을 통한 business 수행을 disrupt 또는 interfere하거나 그 결과를 초래하는 기타 activity에 관여할 수 없습니다.

e. Hacking. hacking 및 related activity는 금지됩니다. „Hacking“에는 illegal 또는 unauthorized access, security measure penetrate 또는 시도, port scan, stealth scan 및 hacking을 assist하기 위한 기타 activity가 포함되되 이에 국한되지 않습니다.

f. Spam. unsolicited mass email, promotion, advertisement 또는 기타 solicitation(„spam“)을 generate, distribute, publish 또는 facilitate하기 위해 Zonos Platform을 이용하거나 제3자가 이용하도록 허용할 수 없습니다.

g. Other Prohibited Activities. 당사의 재량으로 Zonos Platform, 당사 business, reputation, goodwill, customer 및/또는 customer relation, 또는 customer가 Zonos Platform을 효과적으로 이용하는 능력을 실제 또는 잠재적으로 disrupt, interfere, compete 또는 harm하는 activity에 관여하는 것은 금지됩니다. Terms violation을 correct하거나 prevent하기 위한 당사와의 cooperation 실패 또는 user activity로 인한 violation은 귀하의 Terms 위반을 구성합니다.

6. Account Registration, Access, and Security.

a. Registration. Zonos Platform을 이용하려면 Zonos에 register하여 account를 설정해야 합니다. Services 구매 권한이 있는 valid payment method 제출이 필요할 수 있습니다. account register 시 true, accurate, current, complete information을 제공하고, account 및 payment information을 current하게 유지하기 위해 필요 시 업데이트합니다. Privacy Policy에 부합하는 귀하 information에 대한 모든 action에 동의합니다. 당사의 opinion으로 귀하가 본 Terms 조항을 위반한 경우, 적절하다고 판단되는 범위에서 account registration을 refuse하거나 cancel할 권리를 보유합니다.

b. Access and Security. account security 및 account와 관련하여 order, access 또는 otherwise 이용된 모든 Services 및 이와 관련된 모든 action에 대한 책임은 귀하에게 있습니다. 또한 당사는 단독 재량으로 website를 withdraw 또는 amend할 권리를 보유하며, website 또는 platform 일부에 대한 access를 restrict할 수 있습니다.

7. Billing.

a. Fees. invoice는 owed amount에 대해 매주 생성되어 발송됩니다. invoiced amount는 귀하의 위치에 따라 credit card, ACH information 또는 on file된 기타 payment information을 사용하여 자동으로 collect됩니다. approved reason으로 credit card, ACH 또는 기타 payment information이 on file되어 있지 않은 경우, payment는 invoice 수령 후 7일(7 days) 이내에 due합니다. 달리 명시되지 않는 한 fee는 U.S. Dollar로 지불합니다. credit card로 지불하는 경우 processing fee가 적용됩니다. Checkout customer의 경우 owed amount는 귀하의 payout에서 deduct됩니다.

b. Non-Refundable. fee는 actual usage와 관계없이 purchased Services 기준이며 non-refundable입니다. partial day, month, year에 대한 refund 또는 credit을 제공하지 않으며, customer가 Services 또는 product를 이용했는지 여부와 관계없이 refund를 제공하지 않습니다.

c. Taxes. 모든 fee는 sales, goods, services, value-added, harmonized 또는 기타 tax를 포함하되 이에 국한되지 않는 applicable governmental fee, charge, tax를 제외합니다. Services 이용에 applicable한 모든 tax 지불 책임은 귀하에게 있습니다.

d. Checkout. Checkout 이용 시 transaction fee는 귀하에게 owed initial amount에서 자동 deduct됩니다.

e. Subscriptions. subscription fee는 account register 시 제공한 credit card 또는 ACH information으로 billed됩니다. next billing date 최소 30일 전 non-renewal notice를 제공하지 않으면 해당 기간 종료 시 subscription이 automatic renew됩니다.

f. Unpaid Balances. due date까지 fee가 지불되지 않으면 outstanding balance에 월 1.5% 또는 law가 허용하는 maximum legal rate 중 낮은 rate로 interest가 발생합니다. fee payment가 overdue인 기간 동안 Services 또는 product에 대한 access를 suspend할 수 있습니다. suspension은 Terms를 terminate하지 않으며 obligation 또는 liability를 면제하지 않습니다. collection cost를 reimburse합니다. materially delinquent이거나 further 또는 timely payment 의사가 없음을 표명하는 경우, written notice 후 then current term 잔여 기간 unpaid 및 due fee 전액이 accelerated되어 즉시 due 및 payable됩니다.

g. Disputed Charges/Billing Inquiries. 모든 billing invoice의 accuracy 검토는 귀하의 obligation입니다. invoice date로부터 30일 이내에 charge dispute를 서면으로 notify해야 합니다. specified time 내 notify하지 않으면 모든 charge가 valid하다는 agreement 및 해당 charge 관련 claim waiver를 구성합니다.

h. Pricing Changes. fee 및 본 Billing terms를 수시로 change 또는 modify할 권리를 보유합니다. 변경은 Zonos Platform에 게시 및/또는 Zonos on file email address로 communicate됩니다. pricing modification effective 전 최소 30일 notice를 제공합니다.

i. Rounding. billing invoice에 명시된 amount는 소수점 둘째 자리로 rounded됩니다.

j. Termination. Terms termination 또는 Services 및/또는 product cancellation 시 Zonos Platform 및 Services 이용을 즉시 중단하고 cached 또는 stored content를 permanently delete합니다.

8. API Terms.

a. Use. Zonos API는 Zonos Platform과 connection하여 Terms 및 applicable law를 compliance하는 범위에서 solely 이용합니다.

b. Monitoring. 본 Terms Section 13(Monitoring and Enforcement)의 모든 terms에 더하여, Zonos Platform quality 개선 및 Terms compliance verify를 위해 API use를 monitor할 수 있습니다. 본 monitoring에는 us, customer, licensor에 영향을 미칠 security issue 식별 등을 위해 API client에 access 및 use하는 것이 포함될 수 있습니다. 본 monitoring을 interfere하지 않습니다. 당사는 such interference를 overcome하기 위해 technical means를 사용할 수 있습니다. API를 통해 제공되는 content에 대한 access는 applicable law에 따라 restrict, limit 또는 filter될 수 있습니다.

c. Volume Limits. Zonos API access, call 및 use limitation을 exceed 또는 circumvent하려 시도하거나, reasonable request volume을 초과, excessive 또는 abusive usage를 구성하거나, 본 API Terms 또는 Terms 일부를 comply하지 않거나 inconsistent한 방식으로 API를 이용할 수 없습니다.

d. User Information. API client를 통해 user로부터 collected된 모든 information을 unauthorized access, use, disclosure로부터 protect하기 위해 commercially reasonable efforts를 사용합니다. API client를 통해 collected된 모든 personal data는 strong encryption으로 stored 및 served되어야 합니다. API client를 통해 user로부터 collected된 모든 personal data는 (i) user request 시, 또는 (ii) user가 application을 deauthorize하거나 account를 close할 때 delete해야 합니다.

e. Security. web server, database, computer system의 network, operating system, software 및 API client는 application을 securely operate하고 data를 store하도록 properly configured되어야 합니다. security obligation을 avoid하는 방식으로 system을 architect 또는 select할 수 없습니다.

f. Security Breach. user personal data의 unauthorized access, use, disclosure 또는 destruction을 수반하는 security breach 발생 시 intrusion 또는 intruder를 즉시 disconnect하고 breach를 promptly notify합니다. security breach를 promptly remedy하기 위해 당사와 협력하며, Zonos API 또는 customer data를 수반하는 security breach의 경우 law에 의해 required되지 않는 한 prior written consent 없이 public statement를 하지 않습니다.

g. General Prohibitions. 귀하는 다음을 하지 않으며, 귀하를 대신하는 others도 허용하지 않습니다:

i. API를 제3자와 share하거나 API와 substantially 동일하게 function하는 API client를 생성하여 제3자 use를 offer.

ii. virus, worm, defect, trojan horse, malware 또는 destructive 또는 harmful nature의 item을 introduce하기 위해 API 이용.

iii. defame, abuse, harass, stalk 또는 threaten하기 위해 API 이용.

iv. API 또는 API를 제공하는 server 또는 network를 interfere 또는 disrupt.

v. applicable law에 의해 expressly prohibited되는 범위를 제외하고, API 또는 related Software source code를 reverse engineer 또는 extract 시도.

vi. API use 또는 failure가 death, personal injury 또는 environmental damage로 이어질 수 있는 activity에 API 이용.

vii. user explicit opt-in consent 없이 user personal data를 obtain 또는 transmit하거나, such personal data를 us 또는 제3자에 expose하기 위해 API 이용.

9. Zonos Checkout.

a. Guidelines and Responsibility. 귀하는 solely responsible:

i. shipped product refusal과 관련된 cost 또는 duty, tax, shipping fee, order fulfillment cost payment와 관련하여 consumer와의 dispute resolution.

ii. returned 또는 refused order 관련 fee를 consumer responsibility로 하는 귀하가 제공한 terms 및 conditions. 당사는 such terms, refund 또는 return policy를 귀하를 대신하여 enforce하지 않습니다.

iii. supplier non-shipment 또는 timely shipment failure로 consumer가 cancel한 order로 인한 fee refund 및 foreign exchange risk.

iv. supplier가 unilaterally approve한 consumer refund 또는 본 refund policy 위반 refund.

v. Zonos API 또는 Zonos Platform을 통해 어떤 reason으로든 initiate한 refund는 payment processing fee에 더해 refund fee가 적용됩니다.

b. Zonos Fraud Coverage. Fraud Coverage는 „unauthorized“ chargeback 시 귀하를 protect합니다. Fraud Coverage는 non-fraudulent chargeback(예: lost in transit, damaged/defective, friendly fraud 등) 시 liability를 shift하지 않으나, 해당 claim dispute evidence를 귀하를 대신하여 submit합니다. non-fraudulent chargeback 수령 시 debit되며, chargeback reversal 시 credit됩니다. „non-fraudulent“ reversal 시 chargeback fee는 credit back되지 않습니다. chargeback fee는 non-fraudulent chargeback에만 charged됩니다. chargeback fee는 twenty-five dollars($25.00)입니다. completed order manual review 후 재량으로 risky payment를 block하거나 cancellation을 request할 권리를 보유합니다.

10. Landed Cost guarantee.

a. Guidelines and Responsibility. Zonos Landed Cost guarantee service를 opt하여 Zonos가 international order에 대한 landed cost accuracy 및 reconciliation을 ensure하도록 허용하는 경우에만 다음 terms가 적용됩니다. Zonos Landed Cost guarantee enrollment에도 불구하고, 귀하는 solely responsible이며 다음에 대해 Zonos에 대한 claim을 waive합니다:

i. Zonos Platform 외부에서 shipment process 시 respective Zonos account number에 대한 duty 및 tax billing.

ii. Zonos account number에 directly bill하지 않은 fee에 대한 liability.

iii. international shipment에 appropriate documentation supply 및 provide failure로 Zonos에 billed additional clearance fee.

iv. 귀하가 supply한 HS code 및 country of origin designation의 accuracy.

v. shipment에 supply한 commodity 및 documentation verification, landed cost quote에 originally supply된 information과 일치하는지 ensure. landed cost quote에 포함되지 않은 commodity로 발생한 cost에 대해 Zonos는 liable하지 않습니다.

vi. customs가 commercial invoice value보다 goods value를 higher로 deem하여 charged additional duty 및 tax.

vii. Zonos account에 대한 unauthorized charge. unauthorized charge와 관련하여 Zonos handling fee가 charged될 수 있습니다.

viii. Zonos Landed Cost guarantee service coverage 밖 transaction 관련 charge. such uncovered transaction과 관련하여 Zonos handling fee가 charged될 수 있습니다.

ix. shipment tracking number를 Zonos에 provide하지 않아 unintentionally charged된 amount.

x. Zonos Landed Cost guarantee enrollment 전 goods sale과 관련하여 owed indirect tax 또는 기타 amount.

b. order에 대한 Landed Cost guarantee 제공 Zonos fee는 request 시 charged됩니다. order duty, tax, fee owed amount는 order shipped 및 tracking number submitted 시 charged됩니다. Landed Cost guarantee order 관련 Zonos fee 또는 기타 due amount timely payment failure 시 Zonos Platform access suspension.

c. Zonos는 due amount를 초과하는 excess landed cost amount에서 collected additional fund를 retain할 권리가 있음을 acknowledge하고 agree합니다. 해당 amount는 fully earned 및 Zonos에 payable로 deemed됩니다.

d. applicable law 및 regulation compliance를 위해 shipment에 supply한 documentation에 필요한 change를 Zonos 및 supply chain partner가 단독 재량으로 수행할 수 있도록 authorize합니다. 본 authorization은 Zonos에 accurate documentation 제공 responsibility를 release하지 않습니다.

e. Zonos Landed Cost guarantee calculation이 foreign exchange forward premium 기준일 수 있음을 acknowledge하고 agree합니다.

f. landed cost amount Zonos guarantee는 Landed Cost guarantee fee charged date로부터 90일간 valid합니다.

g. Zonos guarantee는 customs clearance 시 charged될 duty 및 tax를 estimate하는 landed cost quote에 기반합니다. estimate는 quote date에 Zonos에게 available한 information에 기반합니다. shipment가 customs processing에 도착하기 전 reasonably expected effective duty 및/또는 tax rate change를 quote가 account할 수 있음을 acknowledge하고 agree합니다.

h. quoted duty, tax 및/또는 fee를 item list price에 포함(Inclusive Pricing)하기로 elect하는 경우 본 subsection이 적용됩니다. product type별 duty 및 tax rate variance 및 sales exact product mix forecast 불가로, Zonos는 단독 재량으로 item Inclusive Price를 adjust할 권리를 보유합니다.

11. Zonos Classify.

Zonos Classify service를 opt하여 이용하는 경우 다음 terms가 적용됩니다. Zonos Classify는 HTS code(Harmonized Tariff Code System)를 사용하여 product classification을 propose할 수 있게 합니다. Zonos는 classification propose에 reasonable commercial efforts를 기울이나, such classification은 informational purpose로 제공되며 proposed HTS code의 accuracy, reliability, completeness에 대해 representation하지 않습니다. 따라서 Zonos Classify가 propose한 code에 rely하기 전 HTS code accuracy ensure는 solely 귀하의 책임입니다. Zonos Classify는 shipment applicable HTS code determine tool로 사용할 수 있으나, applicable HTS code determine 및 customs authority에 provide는 ultimately importer of record, Zonos가 아닌 귀하의 책임입니다.

12. Third-Party Vendors and Services.

Zonos Platform은 Zonos Platform operate 및 maintain에 필요한 hardware, software, networking, storage, related technology를 제공하기 위해 third-party vendor, application, service(„Third-Party Services“)와 integrate되거나 otherwise interact합니다. Third-Party Services receipt 또는 use는 귀하와 third-party provider 간 separate agreement에 subject입니다.

Zonos는 third-party provider behavior, feature, content를 endorse하지 않으며 responsible 또는 liable하지 않음, Third-Party Services provider와 transaction에 대해서도 responsible 또는 liable하지 않음을 understand하고 agree합니다. Third-Party Services에 의한 data access 또는 use, Third-Party Services security 또는 privacy practice에 대해 responsible하지 않습니다. third-party provider data use permit decision은 solely 귀하의 책임입니다. applicable third-party provider가 제공하는 귀하와 third-party provider 간 agreement를 carefully review할 책임은 귀하에게 있습니다.

13. Monitoring and Enforcement; Termination.

당사는 다음 권리를 보유합니다:

a. 사용자가 게시, 제출, 출판, 표시 또는 다른 사용자 또는 person에게 전송할 수 있는 website 또는 Zonos Platform의 대화형 기능(„User Contributions“)에 올라온 콘텐츠를 당사의 단독 재량으로 이유 유무와 관계없이 삭제하거나 게시를 거부할 수 있습니다.

b. User Contribution이 Terms를 위반하거나, person 또는 entity의 지적재산권 또는 기타 권리를 침해하거나, website, Zonos Platform 또는 public의 personal safety를 위협하거나, 당사에 liability를 초래할 수 있다고 판단하는 경우 등, 당사의 단독 재량으로 필요하거나 적절한 조치를 취할 수 있습니다.

c. 귀하가 게시한 material이 지적재산권 또는 privacy right 등 권리를 위반한다고 주장하는 제3자에게 귀하의 identity 또는 기타 information을 공개할 수 있습니다.

d. website 또는 Zonos Platform의 illegal 또는 unauthorized use에 대해 law enforcement에의 referral 등 적절한 legal action을 취할 수 있습니다.

e. 본 Terms 위반에 해당하는 website 또는 Zonos Platform misuse에 대해 30일 서면 통지를 제공할 수 있습니다. 30일 기간 동안 breach를 시정할 수 있습니다. 시정하지 않거나 시정할 수 없는 경우, 30일 expiration 시 website 또는 Zonos Platform access 전부 또는 일부를 terminate 또는 suspend할 수 있습니다.

f. Zonos website 또는 Platform의 illegal 또는 material misuse 또는 본 Terms 위반에 대해 website 또는 Zonos Platform access 전부 또는 일부를 즉시 terminate 또는 suspend할 수 있습니다.

귀하는 언제든지 Zonos Platform 또는 Services 이용을 중단함으로써 본 Terms agreement를 terminate할 수 있습니다. such termination은 Zonos Platform 및 Services subscription에 영향을 미치지 않습니다.

foregoing을 limiting하지 않고, Website에 또는 through 게시된 material을 게시한 anyone의 identity 또는 기타 information 공개를 request 또는 direct하는 law enforcement authority 또는 court order에 fully cooperate할 권리를 보유합니다. 당사 또는 foregoing parties가 such matter와 관련하여 취한 action으로 인한 claim으로부터 US 및 affiliate, licensee, service provider를 WAIVE AND HOLD HARMLESS합니다.

당사는 website 또는 Zonos Platform에 게시되기 전 모든 material을 review할 수 없으며, 게시 후 objectionable material의 prompt removal을 ensure할 수 없습니다. user 또는 제3자가 제공한 transmission, communication, content와 관련한 action 또는 inaction에 대해 liability를 assume하지 않습니다. 본 section에 기술된 activity의 performance 또는 nonperformance에 대해 anyone에게 liability 또는 responsibility가 없습니다.

14. Intellectual Property.

a. Zonos IP. 귀하와 Zonos 간 Zonos는 trademark, trade secret, data, concept, idea, copyright, service mark, API, software 또는 기타 intellectual property(„Zonos IP“)에 대한 모든 right, title, interest 및 intellectual property right를 보유합니다. Third-Party Services에 대해서는 applicable third-party provider가 모든 right, title, interest 및 intellectual property right를 보유합니다.

b. Customer Data. 귀하와 Zonos 간 귀하는 data에 대한 모든 right, title, interest 및 intellectual property right를 보유합니다. 귀하는 non-exclusive, royalty-free, worldwide license를 grant하여 data를 reproduce, distribute, otherwise use 및 display하고, Services 제공에 필요한 모든 act를 수행할 수 있도록 합니다. 제공 content에 대해 necessary right를 own 또는 control하고 Terms obligation을 meet함을 represent 및 warrant합니다. such content의 accuracy를 represent 및 warrant합니다. such content(including derivative work)의 use가 제3자 IP Right를 infringe하지 않음을 represent 및 warrant합니다. 귀하가 제공한 content에 대해 responsibility를 take하지 않으며 liability를 assume하지 않습니다.

c. Feedback. employee, contractor가 mail, email, telephone 또는 otherwise Zonos IP change를 suggest 또는 recommend하는 communication 또는 material을 send 또는 transmit하는 경우(„Feedback“), Parties 간 Feedback을 govern하는 obligation 또는 limitation과 관계없이 such Feedback을 자유롭게 use할 수 있습니다. employee, contractor, agent behalf 및 귀하 behalf로 Feedback에 포함된 idea, know-how, concept, technique 또는 기타 intellectual property right에 대한 모든 right, title, interest를 assign하며, attribution 또는 compensation 없이 any purpose로 use할 수 있습니다. Feedback use는 required가 아닙니다.

d. 귀하는 non-exclusive, transferable, royalty-free, worldwide right 및 license를 grant하여 trademark 및 service mark를 Services operate, provide, promote에 use할 수 있으며, marketing material에 name 및/또는 logo를 사용할 수 있습니다.

15. Indemnification.

a. Indemnification by Zonos. Zonos Platform 또는 Service가 해당 제3자의 intellectual property right를 infringe한다고 allege하는 제3자 claim과 관련하여 발생하는 모든 claim, liability, damage, judgment, loss, cost, expense, fee(including reasonable attorney fee)로부터 귀하, affiliate, licensor, service provider, officer, director, employee, contractor, agent, licensor, supplier, successor, assign을 defend, indemnify, hold harmless합니다. Zonos indemnification obligation은 본 Terms에 accordance하지 않는 Zonos Platform 또는 Service use로 인해 귀하에 대한 claim이 발생하는 범위에서는 apply되지 않습니다. Section 15는 intellectual property infringement claim에 대한 Zonos에 대한 귀하의 sole remedy를 규정합니다.

b. Indemnification by You. 본 Terms violation 또는 Zonos Platform, Services use와 관련하여 발생하는 모든 claim, liability, damage, judgment, loss, cost, expense, fee(including reasonable attorney fee)로부터 Zonos, affiliate, licensor, service provider, officer, director, employee, contractor, agent, licensor, supplier, successor, assign을 defend, indemnify, hold harmless합니다. User Contribution, expressly authorized 범위 외 website content, service, product use, website 또는 Zonos Platform에서 obtain한 information use 포함.

16. Warranty Disclaimer.

a. Zonos Platform 및 Services는 policy 및 intended use에 accordance하여 access 및 use될 때 material respect에서 service level에 conform함을 warrant합니다. writing으로 specifically identified되지 않는 한 Zonos Platform 또는 Services uptime 또는 availability에 대한 representation 또는 guarantee를 하지 않습니다.

b. Zonos는 Services를 통해 제공되는 output 및 data가 materially correct, accurate, reliable하도록 ensure하기 위해 reasonable effort를 기울였으나, such correctness, accuracy, reliability에 대한 warranty는 없으며, such information 및/또는 data는 „as is“ 및 „as available“ basis로 제공됨에 agreed합니다. error 또는 omission 발생 시 Zonos는 어떤 방식으로도 liable하지 않으며, Zonos가 inaccuracy existence를 know 또는 should have known했다고 주장하더라도 such information 및 data와 관련한 all liability를 release합니다.

c. Zonos Platform 및 Services use result에 대해 solely 및 entirely responsible합니다. Zonos Platform 또는 Services를 통해 귀하에게 provide되거나 provide된 information의 accuracy에 대한 responsibility는 Zonos에 없습니다.

d. SECTION 16(a) LIMITED WARRANTY를 제외하고, Zonos는 Zonos IP, any product, any service 또는 use result가 customer 또는 any other person requirement를 meet하거나, uninterrupted operate하거나, intended result를 achieve하거나, any software, system, other service와 compatible 또는 work하거나, secure, accurate, complete, harmful code free, error free할 것이라는 any kind warranty를 하지 않습니다.

e. internet 또는 website에서 download 가능한 file이 virus 또는 destructive code free일 것을 guarantee 또는 warrant할 수 없음을 understand합니다. anti-virus protection, data input/output accuracy에 대한 particular requirement satisfy procedure 및 checkpoint implement, lost data reconstruction을 위한 external means maintain 책임은 귀하에게 있습니다. law가 provide하는 fullest extent, DDoS attack, virus, technologically harmful material로 인한 loss 또는 damage에 대해 liable하지 않습니다.

Zonos Platform, content, service 또는 item use는 own risk입니다. Zonos Platform, content, service 또는 item은 „as is“ 및 „as available“ basis로, express 또는 implied warranty 없이 제공됩니다. US 또는 US와 associated된 any person은 Zonos Platform 또는 service의 completeness, security, reliability, quality, accuracy, availability에 대한 warranty 또는 representation을 하지 않습니다.

law가 provide하는 fullest extent, company는 merchantability, non-infringement, fitness for particular purpose 포함 all kind warranty를 disclaim합니다. applicable law에 의해 exclude 또는 limit 불가 warranty에는 영향을 미치지 않습니다.

17. Limitation on Liability.

본 Terms에 under 또는 in connection with breach of contract, tort(negligence), strict liability 등 any legal 또는 equitable theory로 (a) consequential, incidental, indirect, exemplary, special, enhanced, punitive damage; (b) increased cost, value diminution, lost business, production, revenue, profit; (c) goodwill 또는 reputation loss; (d) data use, inability to use, loss, interruption, delay, recovery, data 또는 system security breach; (e) replacement goods 또는 service cost에 대해 liable하지 않습니다. provider가 such losses 또는 damage 가능성을 advised했는지 regardless. aggregate liability는 claim giving rise event 전 twelve-month period 동안 Terms under paid total amount를 초과하지 않습니다.

18. Arbitration; Dispute Resolution; Class Action Waiver.

a. Arbitration. 본 Terms 또는 Zonos Platform, Services use에서 arising하는 dispute, interpretation, violation, invalidity, non-performance, termination(„Disputes“) concern dispute는 Utah law를 applying하는 American Arbitration Association Rules of Arbitration에 따른 final binding arbitration에 submit됩니다. therefore, past, present, future acts 또는 omissions base dispute는 court rather than binding arbitration으로 exclusively and finally resolve하는 데 agree합니다.

모든 Dispute에 대해 parties는 written notification(dispute description, specific relief description 포함)으로 other party에게 resolve opportunity를 먼저 제공해야 합니다. written notification 후 60일 unresolved인 경우 notice party가 arbitration으로 Dispute를 take할 수 있습니다.

b. Class Action Waiver. class action 또는 representative action means로 claim assert right를 waive합니다. foregoing waiver에도 불구하고 court 또는 law가 party의 class 또는 representative action participation을 permit하는 경우, prevailing party는 class 또는 representative action pursue와 관련 attorney fee 또는 cost recover entitled가 아니며, class member로 initiate 또는 participate하는 party는 class 또는 representative action을 통해 secured recovery에 claim submit 또는 participate하지 않습니다.

c. Limitation of Procedural Rights. public court judge 또는 jury trial right 대신 arbitration에 agree함을 understand하고 agree합니다. absent agreement court dispute, class action participation opportunity가 있을 수 있습니다. those right를 give up합니다. appeal, discovery type 등 court에서 가질 right는 arbitration에서 more limited할 수 있습니다. arbitrator decision appellate review는 court보다 much limited하며, 일반적으로 fact 또는 law error로 appeal할 수 없습니다.

d. Severability. Section 18 clause(Class Action Waiver clause 제외)가 illegal 또는 unenforceable로 판명되면 severed되며 remainder는 full force를 갖습니다. Class Action Waiver clause가 illegal 또는 unenforceable로 판명되면 entire agreement는 unenforceable하며 dispute는 court에서 decide됩니다.

e. Continuation. 본 agreement는 contract termination 및 Services, product use 후에도 survive합니다.

19. Miscellaneous.

Governing Law; Jurisdiction. 본 Terms validity, construction 및 본 Terms에서 arising하거나 relating하는 dispute, lawsuit에 적용되는 law는 Utah, USA law입니다. Washington County, Utah(USA) federal 및 state court jurisdiction, venue에 consent하며 personal jurisdiction lack, forum non conveniens defense를 waive합니다. UN Convention on Contracts for International Sale of Goods는 본 Terms에 apply되지 않으며 expressly excluded됩니다.

b. Severability. provision이 unenforceable 또는 invalid로 판명되면 minimum extent necessary로 limit 또는 eliminate되어 Terms는 otherwise full force and effect and enforceable로 remain합니다.

c. Waiver. provision waiver 또는 breach, departure consent는 Zonos duly authorized representative writing signed 아닌 한 Zonos에 binding 또는 effective하지 않으며, specific instance, purpose에 대해서만 effective합니다.

d. Section Headings. convenience only이며 legal 또는 contractual effect가 없습니다. strict construction favor 또는 against apply 없이 interpret됩니다.

e. Independent Contractors. agency, partnership, joint venture, employment relationship가 create되지 않으며, Zonos bind authority가 없습니다.

f. Force Majeure. war, terrorism, natural disaster, electricity failure, riot, civil disorder, commotion, force majeure event beyond reasonable control non-performance obligation failure에 대해 liability가 없습니다.
